3. Client Obligations

Clients agree to:

• Cooperate with PerfectDev throughout the development process.

• Make timely payments as per the agreed terms.

4. Payment Terms

• Payment terms will be outlined in the project proposal or contract.
• Invoices shall be paid within the specified timeframe to avoid project delays.
• PerfectDev reserves the right to suspend work if payments are not made as agreed.

5. Intellectual Property

• All intellectual property rights arising from the services provided by PerfectDev shall belong to the Client upon full payment of all fees.
• PerfectDev retains the right to use anonymized and aggregated data for research and development purposes.

6. Confidentiality

• PerfectDev agrees to keep all Client information confidential unless required by law to disclose such information.
• Clients agree to keep all proprietary information of PerfectDev confidential.

7. Limitation of Liability

• PerfectDev shall not be liable for any indirect, consequential, or incidental damages arising out of the use or inability to use the services.
• In no event shall PerfectDev’s liability exceed the total fees paid by the Client.

8. Termination

• Either party may terminate the agreement with written notice if the other party breaches any material term of the agreement.
• Upon termination, the Client shall pay for all services provided up to the date of termination.

9. Governing Law

• These Terms and Conditions shall be governed by and construed in accordance with the laws of Germany.
• Any disputes arising out of these Terms and Conditions shall be resolved in the courts of Berlin, Germany.

10. Changes to Terms and Conditions

• PerfectDev reserves the right to modify these Terms and Conditions at any time.
• Clients will be notified of changes via email or through the PerfectDev website.
